Terms & Conditions & Client Engagement

1. Acceptance of Terms & Eligibility

These Terms and Conditions constitute a legally binding contractual agreement between you (whether an individual, company, or enterprise entity, designated as "Client") and Padma Technologies ("Company", "we", "us", or "our"), governing all technological engagements, website development, software engineering, mobile application deployment, cloud server configuration, digital marketing, and ongoing maintenance retainers.

You confirm that you possess the requisite legal capacity and corporate authority to bind your organization to these terms. If you do not accept these terms in their entirety, you must refrain from engaging our services.

2. Scope of Digital & IT Services

Padma Technologies delivers specialized enterprise technology services including, but not limited to:

• Custom Web Engineering: Responsive website design, custom WordPress themes, Laravel web applications, React/Node.js dynamic web portals, and REST API development.
• E-Commerce Solutions: WooCommerce storefronts, Shopify development, headless e-commerce, custom cart/checkout workflows, and payment gateway integrations.
• Cloud & Server Infrastructure: Managed NVMe cloud hosting, VPS orchestration, CyberPanel/cPanel management, SSL certification, server firewall hardening, and database optimization.
• Mobile App Engineering: Cross-platform iOS and Android mobile applications using Flutter and React Native.
• Digital Growth & SEO: Search Engine Optimization (SEO), technical audits, Google Search Console indexing, and performance tuning (PageSpeed 90+ score optimization).

3. Proposals, Scope of Work (SOW) & Work Orders

All projects are initiated based on a written Estimate, Proposal, or formal Scope of Work (SOW) issued by Padma Technologies. Proposals remain valid for thirty (30) calendar days from the date of issuance unless explicitly stated otherwise.

Any deliverable, feature, third-party plugin integration, or functionality not explicitly itemized in the accepted SOW is deemed outside the project scope and will require a formal Change Request and supplementary estimate.

4. Commercial Pricing, Invoicing & GST Terms

Unless otherwise negotiated in writing, standard development projects follow a milestone-based disbursement schedule:

• Taxation: Applicable statutory Goods and Services Tax (GST) will be levied on all invoices as per prevailing Government of India rates.
• Payment Due Date: Invoices are payable within seven (7) business days of issuance. In the event of unpaid overdue invoices exceeding 15 days, Padma Technologies reserves the right to suspend development or staging server access until arrears are resolved.

5. Client Obligations & Approvals

Timely execution of the project depends upon active cooperation from the Client. The Client agrees to:

• Provide all requisite brand assets, high-resolution logos, product photography, and text content within agreed timelines.
• Furnish necessary third-party API credentials, domain registrar logins, or existing hosting access when required for implementation.
• Provide feedback, review comments, and sign-offs within five (5) business days of receiving milestone deliveries. Protracted delays in feedback exceeding 30 days may necessitate project rescheduling and administrative reactivation fees.
• Warrant that all materials, logos, fonts, graphics, and trade names provided to Padma Technologies are legally owned or appropriately licensed by the Client, holding Padma Technologies harmless from any copyright or trademark claims.

6. Intellectual Property & Source Code Ownership

Full Custom IP Ownership: Upon receipt of one hundred percent (100%) of all agreed project payments, full ownership of the bespoke custom code, page templates, database structures, and unique designs developed specifically for the Client shall transfer entirely to the Client.

Third-Party Components & Open Source: Open-source frameworks (WordPress core, Laravel framework, Bootstrap, FontAwesome, etc.) and commercial third-party plugins remain governed by their respective public (GPL, MIT) or commercial licenses.

Portfolio Rights: Unless restricted by a mutually executed Non-Disclosure Agreement (NDA), Padma Technologies reserves the right to showcase the delivered website or project in its professional portfolio, case studies, and marketing collateral.

7. Project Delivery, Revisions & Scope Creep

Standard packages (e.g. Starter 7-day Business Accelerator Package) include up to two (2) rounds of revisions during the staging review phase, covering layout adjustments, styling tweaks, typography alignment, and text corrections.

Requests that alter project architecture, introduce new third-party integrations, add additional custom pages, or require database restructuring after design sign-off constitute "Scope Creep" and will be quoted separately on an hourly or milestone basis.

8. Managed Cloud Hosting & Domain Policy

When hosting is included in packages:

• Padma Technologies provides managed high-speed NVMe cloud hosting powered by Tier-3/4 data centers with an uptime target of 99.9%.
• Domain names registered on behalf of the Client remain the exclusive intellectual property of the Client. The Client is responsible for timely renewal fee payments prior to domain expiry.
• Padma Technologies is not liable for temporary service interruptions caused by global DNS propagation delays, telecommunications trunk failures, upstream data center maintenance, or cyber warfare beyond reasonable technical control.

9. Post-Launch Warranty & Free Support Window

Every custom web development and application project delivered by Padma Technologies includes a complimentary post-launch warranty window (ranging from 30 to 90 days depending on the contract tier).

During this warranty period, Padma Technologies will fix any bugs, code defects, broken links, or display glitches attributable to our delivered code free of charge. The warranty does not cover issues resulting from:

• Modifications, code alterations, or plugin updates installed by the Client or unauthorized third parties.
• Changes to third-party APIs (e.g. Meta Ads API, Google Maps, Payment Gateways) enacted by respective external platforms after delivery.
• Infection arising from insecure Client credentials, phishing, or malware on the Client's local computers.

Following expiration of the warranty window, ongoing maintenance is supported under our structured Annual Maintenance Contracts (AMC).

10. Project Cancellation & Refund Policy

Either party may cancel a project contract upon giving ten (10) business days written notice.

• Mobilization Advance: The initial project mobilization advance is non-refundable, as it allocates dedicated engineering hours, cloud staging resources, and architectural planning immediately upon contract execution.
• Work-in-Progress Settlement: In the event of early termination by the Client, the Client shall be invoiced for the actual man-hours expended and milestones delivered up to the termination date. Any excess balance will be credited back, and all work completed to that date will be handed over.
• No Refund After Final Deployment: No refunds shall be entertained once the source code, website, or mobile application has been deployed live on the Client's production domain or servers.

11. Limitation of Liability & Indemnity

To the maximum extent permitted by applicable Indian law:

• In no event shall Padma Technologies, its directors, engineers, or affiliates be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of business profits, data corruption, business interruption, or commercial losses.
• Our cumulative total financial liability arising out of or related to any project engagement, regardless of whether the claim sounds in contract, tort, or warranty, shall strictly be capped at the actual fees paid by the Client to Padma Technologies for the specific service under dispute.

12. Confidentiality & Non-Disclosure (NDA)

Both parties mutually agree to treat all business plans, customer databases, technical architectures, pricing arrangements, and trade secrets disclosed during the course of the engagement as strictly confidential. Neither party shall disclose proprietary information to third parties without prior written consent, except where required by lawful order of an Indian judicial body.

13. Governing Law & Judicial Jurisdiction

These Terms and Conditions and all commercial disputes arising under or in connection with them shall be governed by, interpreted, and enforced in accordance with the substantive laws of the Republic of India.

The parties mutually agree that any legal suit, action, dispute, or arbitration proceeding shall fall under the exclusive jurisdiction of the competent civil courts situated in Raipur or Korba, Chhattisgarh, India.
